Introduction:

Set up a foundation in Nevis Nevis foundations are formed under the Multiform Foundation Ordinance. At the time of registering the Multiform foundation one can elect how the foundation shall be treated from a legal perspective – as a company, as an LLC, as a trust, or as an ordinary foundation. The status of the Foundation can be changed during its lifetime. Generally, most foundations are established as ordinary foundations. Ordinary Foundations are orphan vehicles – a hybrid between a Trust and a Company.   Like a trust, an ordinary foundation is generally established to reflect the wishes of the Founder (like the Settlor of a Trust) via an endowment of assets, which are managed by the council or management board (like a Trustee of a Trust) for a specific purpose and/or for the benefit of its beneficiaries.   Like a company, a foundation is a legal entity with legal personality (as opposed to a Trust which is a deed and legal arrangement between the settlor and the trustee, but it is not a legal entity, and it does not have legal personality). Unlike a company, foundations have no shareholders or owners.
Note that our incorporation and annual corporate service fees are “all-included fees”, and cover all the required services to incorporate a Nevis foundation, and keep it in good standing, as well as government fees and duties, disbursements such as courier fees, and assignments such as the preparation of a certificate of incumbency, and the notarization and apostille of documents, which are generally required for opening bank accounts.

Nevis Multiform Foundation Formation and First-Year Fees – USD 10,300.00 (All Included)

  • acting as the subscriber of the Nevis Multiform Foundation
  • drafting the Memorandum of Establishment, and submitting them with the Registrar of Multiform Foundations
  • settling the Registrar of Companies incorporation fees and duties.
  • drafting the Foundation Bylaws
  • drafting and executing designation and acceptance of secretary and registered agent
  • drafting and executing organizational meeting minutes
  • drafting and executing the first directors’ resolution for the appointment of management board members and supervisory board members and adoption of company bylaws
  • assisting with completing the consent schedules of board members
  • collecting and providing to the client the Certificate of Establishment, the Endorsement Certificate and Stamped Memorandum of Establishment from the Registrar
  • preparing the register of board members
  • drafting Foundation regulations for the appointment of beneficiaries.
  • providing registered agent services for one (1) year
  • providing secretary services for one (1) year
  • providing registered office services, including registered address, for one (1) year
  • maintaining minute book and statutory records for one (1) year)
  • providing notarized and apostilled copies of the corporate documents
  • delivering originals, and notarized and apostilled copies of the corporate documents via courier, and settling courier fees

Nominee Services (Optional)

  • nominee management board member – USD 1600.00 p.a.
  • nominee supervisory board member – USD 1600.00 p.a.
  • preparing the consent schedules, notarization and apostille fees (one-time) – USD 700.00 per management/supervisory board member (mandatory if nominees are used)
  • providing a notarized and apostilled Power of Attorney issued by the nominee board member to appoint the client as attorney-in-fact of the foundation – USD 700.00 (optional)
