Introduction:

In the Netherlands, we generally incorporate BV’s which are private companies with limited liability. BV’s are companies limited by shares, and their articles may provide for such shares to be freely transferable or otherwise require approval from a majority of shareholders. The company can be incorporated with one shareholder and one director, and there are no minimum share capital requirements other than issuing at least 1 share for any price.

Dutch Company (B.V.) Formation and First-Year Fees – USD 7,600.00 (All included)

Note that our incorporation and annual fees are all “all-included fees”, and cover all the required services, duties, disbursements, and procedures to incorporate a private limited liability company (B.V.) in the Netherlands and keep it in good standing.
  • Reservation of Company Name
  • All Applicable Trade Registry Fees
  • Preparation of the Incorporation Deed and Articles of Association of the Company
  • Preparation of the final Registration Forms of the Trade Registry (KVK)
  • Preparation of Power of Attorney
  • All Applicable Notarial Fees
  • Executing the Incorporation Deed and Articles before Civil Law Notary
  • Filing the Incorporation Deed and Articles of Association with the Trade Registry (KVK)
  • Provision of filed Incorporation Deed and Articles of Association
  • Provision of Excerpt from the KVK (equivalent to Incorporation Certificate)
  • Registration with the tax authorities, the arrangement of all required tax numbers (Including Corporate Tax and VAT, if applicable)

Time to form It takes about 2 weeks to incorporate the company, which incorporation deed and articles of association must be executed by a civil law notary. Note that the subscribers of the shares will be required to attend the notary’s incorporation meeting via video-conference. The shareholders will need to show their passport and sign a power of attorney during such video-conference. Therefore, there is no need to travel to the Netherlands. After execution of the power of attorney, the notary will execute the incorporation deed and file the Articles of the BV, the details of its directors and of the shareholders with the Dutch Trade Register.

Dutch Resident Director Services – USD 28,200.00 per annum (Optional)

Although there is no corporate requirement to have one Dutch resident director, for obtaining a tax residence certificate and access the broad network of double tax treaties – the company should have at least half of the board composed of Dutch residents.
