In the Island of Nevis, the two most common corporate structures are the Business Corporation (IBC), incorporated under the Nevis Business Corporation Ordinance (NBCO), and the Limited Liability Company (LLC), registered under the Nevis Limited Liability Company Ordinance (NLLCO).

Nevis Business Corporation (IBC)

• Acting as the Incorporator of the Nevis Business Corporation
• Preparing Articles of Incorporation, and filing them with the Registrar of Companies
• Preparing the company Bylaws, and executing them as the Incorporator
• Preparing and executing designation and acceptance of Registered Agent
• Preparing and executing the Transfer of Subscription Rights from the Incorporator to the Shareholder(s)
• Preparing and executing Incorporation and Organizational Meeting Minutes
• Preparing the Directors’ Resolution resolving the appointment of directors, allotment of shares, adoption of company bylaws and other related corporate matters
• Preparing the Directors’ Consent Letter
• Providing the Certificate of Incorporation, the Registrar’s Endorsement Certificate and Filed Articles of Incorporation
• Preparing the Register of Shareholders and Register of Directors
