Introduction:

We can assist in setting up and maintaining a Curacao private limited liability company (BV) or public limited liability company (NV). Both structures are companies limited by shares – the main difference is that a BV is restricted to issue shares to the public, but can do so on a private basis e.g. private placement.
In Curaçao, we incorporate both private limited liability companies (BV) and public limited liability companies (NV).

Curacao Company (BV/NV) Formation and First-Year Fees – USD 9,600.00 (All Included)

Note that our incorporation and annual corporate service fees are “all-included fees”, and cover all the necessary services to incorporate a Curacao Company, and keep it in good standing, as well as government fees and duties, disbursements such as courier fees, and the notarization of documents, which are generally required for opening bank accounts.
  • All applicable Government and Registration Fees (Chamber of Commerce, Trade Registry)
  • Preparing the Incorporation Deed and Articles of Association of the Company
  • Acting as First Subscribers of the Articles of the Company;
  • Executing the Incorporation Deed before Notary Public, inclusive of Notarial Fees
  • Filing the Incorporation Deed with the Chamber of Commerce Register
  • Providing Notarized Incorporation Deed and Articles of Association
  • Providing Company Excerpt issued by the Trade Registry
  • Preparing and executing Share Instrument for transferring Subscription Shares from the First Subscriber to the Shareholder
  • Preparing First Board Meeting Minutes resolving the Appointment of Directors, Registered Office, and other Corporate Matters
  • Preparing the Share Register
  • Applying for and obtaining CRIB Number (Tax Identification Number)
  • Applying for and obtaining the Business Permit
  • Providing Notarized  copies of the Corporate Documents
  • Delivering Original, and Notarized copies of the Corporate Documents via Courier, inclusive of Courier fees
Time to form the company We prepare the Incorporation deed and articles of association within 1-2 days. Once the incorporation deed and articles are approved by you, we will execute them before civil law notary in Curacao as a notarial deed. We will act as the first subscribers of the company in order for you to not need to travel to Curacao. This procedure takes around 1 week, depending on whether you wish to review the Articles and the availability of the civil law notary.

All Curacao companies need to appoint a legal representative or a local managing director who is a resident in Curacao. Option 1) Legal Representative – USD 9,000 per annum
  • Acting as the Legal Representative of the Company before Local Authorities and Local Banks
  • Providing Registered Office Services, including business address, for one year
  • Providing Secretarial Services for one year
  • Preparing and submitting the Annual Return of the company
OR Option 2) Local Managing Director – USD 10,500 per annum
  • Acting as the Managing Director of the company, and Legal Representative of the Company before Local Authorities and Local Banks;
  • Signing Contracts of the company, as required
  • Preparing and Executing Board Resolutions, as required
  • Providing Registered Office Services, including business address, for one year
  • Providing Secretarial Services for one  year
  • Preparing and submitting the Annual Return of the company
